END USER LICENSE AGREEMENT ("EULA")

PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE USING THE SOFTWARE. BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT INSTALL OR USE THE SOFTWARE.

This EULA is a legal agreement between you (either an individual or a single entity) and Depot Analytics LLC ("Depot Analytics") for the software product(s) identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT" or "SOFTWARE").

1. GRANT OF LICENSE Depot Analytics hereby grants to you a non-exclusive, non-transferable, limited license to use the SOFTWARE PRODUCT. The SOFTWARE PRODUCT is licensed, not sold.

2. INTELLECTUAL PROPERTY The SOFTWARE PRODUCT is owned by Depot Analytics and is protected by United States copyright laws and international treaty provisions. You may not copy the SOFTWARE PRODUCT, except as expressly provided in this EULA. Any unauthorized copying of the SOFTWARE PRODUCT or failure to comply with the terms of this EULA will result in automatic termination of this license.

3. RESTRICTIONS You may not modify, adapt, translate, reverse engineer, decompile, disassemble or create derivative works based on the SOFTWARE PRODUCT or any portion thereof.

4. NO WARRANTY The SOFTWARE PRODUCT is provided "AS IS" without warranty of any kind. Depot Analytics disclaims all warranties, either express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose, with respect to the SOFTWARE PRODUCT.

5. LIMITATION OF LIABILITY In no event shall Depot Analytics be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with the use or inability to use the SOFTWARE PRODUCT, including, without limitation, damages for loss of use, data or profits, or any other pecuniary loss, even if Depot Analytics has been advised of the possibility of such damages.

6. INDEMNIFICATION You agree to indemnify and hold Depot Analytics harmless from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the SOFTWARE PRODUCT.

7. TERMINATION This license will terminate automatically if you fail to comply with any of the terms and conditions of this EULA. Upon termination, you must immediately cease using the SOFTWARE PRODUCT and destroy all copies of the SOFTWARE PRODUCT.

8. GOVERNING LAW This EULA will be governed by and construed in accordance with the laws of the State of Delaware.

9. ENTIRE AGREEMENT This EULA constitutes the entire agreement between you and Depot Analytics and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter of this EULA.

10. WAIVER OF LIABILITY To the extent permitted by law, Depot Analytics waives all liability that is legal to waive for any direct, indirect, incidental, special, or consequential damages resulting from your use or inability to use the SOFTWARE PRODUCT.

BY USING THE SOFTWARE PRODUCT, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS EULA, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
